FAQs — Hong Kong Company Incorporation

Common questions about Hong Kong company registration, directors, company secretary and timelines.

What do I need to form a Hong Kong limited company?

Typically at least one director and one shareholder aged 18+, a Hong Kong registered office address, and a company secretary who is a Hong Kong resident individual or a qualified corporate secretary. Nationality of directors/shareholders is generally unrestricted.

Can Mainland China or overseas residents incorporate in Hong Kong?

Yes. Hong Kong company law generally does not restrict directors or shareholders by nationality.

How long does incorporation take?

Electronic incorporation can be very fast when information is complete; conventional applications often take several to around ten working days depending on circumstances.

Must I state a business nature on the Business Registration?

Not always in a restrictive sense — practice varies; discuss your situation with us. Licensed activities remain separately regulated.

Does the business nature limit future expansion?

It usually describes principal activities. Expanding into other lawful activities is often possible, subject to licences and sector rules.

How can I verify a company is duly registered?

Conduct a Companies Registry search (we can assist). Bank account opening is a practical signal but the register is authoritative.

Is liability based on registered or issued share capital?

Shareholders’ limited liability is generally linked to amounts unpaid on shares they have taken up; unissued capital is not automatically an extra shareholder obligation.
