BVI economic substance and renewal basics

What Hong Kong owners should know about economic substance, annual maintenance and reporting touchpoints.

2026-10-24

If your group already has — or is considering — a BVI company, two practical topics come up every year: economic substance and renewals / maintenance.

Economic substance in brief

BVI legislation requires certain legal entities that carry on “relevant activities” to meet economic substance requirements (for example adequate direction and management, employees, expenditure and premises proportionate to the activity). Pure equity holding entities typically face a lighter test, while intellectual-property businesses can face stricter scrutiny. Rules and guidance are published via BVI authorities including the International Tax Authority (ITA) and materials hosted by the BVI FSC.

Whether your entity is in scope depends on its activities and tax residency position — get jurisdiction-specific advice rather than assuming a holding company is automatically exempt.

Renewal and maintenance basics

  • Keep a licensed registered agent and registered office in good standing
  • Pay annual registry / agent renewal fees on time to reduce strike-off risk
  • Maintain accurate registers and beneficial ownership information as required under current BVI rules
  • Diary CRS/FATCA and home-country filing deadlines that sit outside BVI

How this ties back to “BVI benefits”

Flexibility and the absence of local corporate tax on most foreign-source income remain reasons groups use BVI — but those benefits sit alongside substance, transparency and home-tax obligations. Structure design should start with the commercial purpose and the owners’ tax residence, not the brochure list of advantages.
