In early October 2026 the BVI Financial Services Commission (FSC) briefed industry on upcoming revisions to the BVI Business Companies (Financial Return) Order, 2023 and the Limited Partnership (Financial Return) Order, 2025. Webinar FAQs and updated slides were published around mid-October. This note summarises public materials for Hong Kong owners of BVI companies — general information only, not legal or tax advice.
Based on FSC Press Release 11 of 2026 (2 Oct), the 8 Oct industry webinar resources, and publicly discussed FAQs. Amendment Orders were expected on the FSC website around end-October 2026 — confirm final text and effective dates against official publications.
What is changing (high level)
Annual returns filed with registered agents will need more structured financial disclosure, not just a light confirmation that a return was lodged. Public summaries point to greater detail on:
- Assets — including cash (with bank name/jurisdiction where held), loans and receivables (with materiality thresholds discussed for some categories), investments and other financial assets, tangible and intangible assets
- Income / revenue and expenses — with clearer category definitions
- For limited partnerships — categories aligned to LP structures (e.g. partners’ capital, receivables/payables, borrowings, realised and unrealised gains/losses, interest)
Returns will still be filed/submitted with the registered agent; that channel is not being removed.
Why the FSC is doing this
The stated driver is BVI’s commitments under the Global Forum on Transparency and Exchange of Information for Tax Purposes — in particular making accounting information more useful for exchange-of-information purposes (Element A2). Revisions follow earlier phases that introduced company returns (from 2023, with first filings from mid-2025) and LP returns (requirements from late 2024, first submissions from September 2026).
Timing to diary
- Industry webinar: 8 October 2026; FAQs / slides published thereafter
- Amendment Orders were expected to be published on the FSC site around end of October 2026
- Industry commentary indicates the revised detail is aimed at returns covering periods that feed into 2027 filing cycles — treat exact applicability as subject to the gazetted Orders and agent guidance
Practical tips for Hong Kong–connected owners
- Ask your registered agent early which categories and supporting schedules they will need, and whether bookkeeping systems can produce them
- Map bank accounts and jurisdictions for cash balances; list investments and material receivables (especially intra-group)
- Align with economic substance — activity classifications and financial figures should tell a consistent story
- Coordinate Hong Kong audit / profits tax calendars so year-end packs support both local filings and the BVI return
- Do not wait for strike-off risk — keep renewals, agent standing and beneficial-ownership records current while the disclosure framework expands
