BVI companies: common uses and practical caveats

An overview of why groups still use BVI companies, typical benefits, and compliance points to check.

British Virgin Islands (BVI) business companies remain a familiar building block in cross-border holding and trading structures. This note summarises typical uses and honest caveats for Hong Kong–connected groups — it is general information, not legal or tax advice.

Common uses

  • Intermediate holding companies for regional investments
  • Contracting or trading vehicles in international supply chains
  • Ring-fencing particular assets or projects within a group

Benefits of a BVI company (summary)

  • Flexible corporate constitution for holding or trading
  • Often less public disclosure of directors/shareholders than some onshore registries (privacy is relative, not absolute)
  • No local corporate income tax on most foreign-source income in typical cases — owners may still face tax and reporting at home
  • Widely recognised for cross-border holding structures

Caveats you should plan for

  • Economic substance — entities carrying on relevant activities may need adequate direction, expenditure and activity in the BVI under the Economic Substance (Companies and Limited Partnerships) Act framework administered with BVI authorities.
  • CRS / FATCA — financial institutions and reporting regimes can still require disclosure of controlling persons.
  • Home-jurisdiction tax — Hong Kong, Mainland China or other residence rules may tax or require reporting of offshore interests.
  • Annual maintenance — registered agent, registered office and renewal fees apply; missed renewals risk strike-off.
VCL can help you compare BVI with other offshore options and coordinate incorporation and renewals alongside your Hong Kong compliance. We do not invent bank guarantees or fixed promotional prices.
